1. Acceptance of Terms

Welcome to Faida Flow! By accessing or using our mobile application and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you (the "User" or "you") and Faida Flow ("we," "us," or "our"). We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Faida Flow is a business management platform designed for Kenyan businesses, including boutiques, salons, dukas, and other retail establishments. Our Service provides:

• Point of Sale (POS) functionality
• Inventory and stock management
• Sales tracking and reporting
• Expense management
• Profit analytics and insights
• M-PESA payment integration
• Worker and shift management
• Customer relationship management

3. Eligibility

To use Faida Flow, you must:

• Be at least 18 years of age
• Have the legal authority to enter into binding contracts
• Operate a legitimate business in Kenya or other supported regions
• Provide accurate and complete registration information
• Maintain the security of your account credentials

4. Account Registration and Security

Account Creation

You must create an account to use Faida Flow. You agree to:

• Provide accurate, current, and complete information during registration
• Update your information promptly if it changes
• Not create an account using false information or impersonating others
• Not create multiple accounts for the same business without authorization

Account Security

You are responsible for:

• Maintaining the confidentiality of your password and account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access or security breaches
• Logging out of your account when using shared or public devices

5. Subscription and Payments

Pricing

Faida Flow offers various subscription plans. By subscribing, you agree to pay the applicable fees for your chosen plan. Prices are subject to change with 30 days' notice.

Billing

• Subscription fees are billed in advance on a monthly or annual basis
• Payments are processed via M-PESA or other supported payment methods
• Failed payments may result in service suspension
• You authorize us to charge your payment method automatically for recurring subscriptions

Refunds

Subscription fees are generally non-refundable. If you cancel your subscription, you will retain access until the end of your current billing period. We may provide refunds at our sole discretion for service failures or other exceptional circumstances.

6. Acceptable Use Policy

You agree to use Faida Flow only for lawful business purposes. You must not:

• Use the Service for any illegal activities or fraudulent transactions
• Violate any local, national, or international laws or regulations
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Reverse engineer, decompile, or disassemble the software
• Use the Service to transmit viruses, malware, or harmful code
• Harass, abuse, or harm other users or our team members
• Scrape, copy, or download content without permission
• Resell or redistribute the Service without authorization

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using Faida Flow, you consent to our collection, use, and sharing of your information as described in the Privacy Policy.

You own all data you input into the Service. We claim no ownership over your business data. However, you grant us a license to use, store, and process your data solely to provide and improve the Service.

8. Intellectual Property

All content, features, and functionality of Faida Flow, including but not limited to:

• Software code and algorithms
• Design, layout, and user interface
• Logos, trademarks, and branding
• Text, graphics, and images
• Reports and analytics tools

...are owned by Faida Flow and protected by Kenyan and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our explicit written permission.

9. Third-Party Services

Faida Flow integrates with third-party services such as M-PESA, SMS providers, and cloud storage. Your use of these services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or functionality of third-party services. Any issues with M-PESA transactions, SMS delivery, or other third-party features should be directed to the respective service provider.

10. Service Availability and Support

We strive to provide reliable, uninterrupted service. However:

• We do not guarantee 100% uptime or error-free operation
• The Service may be temporarily unavailable for maintenance, upgrades, or emergencies
• We will provide reasonable notice for planned downtime when possible
• Technical support is available via email and in-app chat during business hours

We are not liable for any losses or damages resulting from service interruptions, data loss, or technical errors. We strongly recommend maintaining backup records of your business transactions.

11. Disclaimers and Limitation of Liability

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICE
• UNINTERRUPTED OR ERROR-FREE OPERATION
• ABSENCE OF VIRUSES OR HARMFUL COMPONENTS

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAIDA FLOW SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• DAMAGES RESULTING FROM SERVICE INTERRUPTIONS OR ERRORS
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• THIRD-PARTY ACTIONS OR FAILURES (E.G., M-PESA DOWNTIME)

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Faida Flow, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Violation of these Terms
• Violation of any laws or third-party rights
• Your business operations or transactions processed through Faida Flow

13. Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of subscription fees
• Abuse of the Service or our support team
• Any reason at our sole discretion, with or without notice

You may cancel your subscription at any time through your account settings. Upon termination, you will lose access to the Service, and your data may be deleted after 90 days (subject to legal requirements). We recommend exporting your data before cancellation.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Kenya. Any disputes arising from these Terms or your use of the Service shall be resolved through:

1. Informal Negotiation: We encourage you to contact us first to resolve any issues amicably
2. Mediation: If informal resolution fails, disputes may be submitted to mediation in Nairobi
3. Arbitration: Unresolved disputes shall be settled by binding arbitration under Kenyan law
4. Jurisdiction: Courts in Nairobi, Kenya, shall have exclusive jurisdiction

15. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes via email or in-app notification at least 30 days before they take effect. Your continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

16. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Faida Flow.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force.

Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not transfer or assign your rights under these Terms. We may assign our rights and obligations without restriction.
